Distributor Cooperation Model:

1. Cooperation Model

a.

This cooperation is not applicable to private buyers, individual agents, information intermediaries, or applicants whose sole purpose is to introduce customers.

b.

The applicant should be a locally and legally registered B2B business entity, or an entrepreneur planning to carry out local business operations through a legally registered business entity, and should have, or plan to establish, a local showroom, warehouse, warehouse-style display facility, or other actual sales and customer service capabilities.

c.

Goods are usually shipped directly from Ireland or China, with a 20-foot container used as the basic shipping unit or minimum shipping reference volume.

d.

SAN QI's current distribution cooperation scope is limited to the three existing product series shown on the website. Please refer to the Fiji Market page.

e.

Each order shall be subject to a written Sales and Supply Agreement and paid in three instalments of 50% / 30% / 20%. SAN QI's Ireland subsidiary will provide the bill of lading or relevant release documents after confirming receipt of all payments. Please refer to the Sales and Supply Agreement template.

f.

Payment shall be made by international bank transfer, Payoneer, or any other commercial payment channel approved by SAN QI's Ireland subsidiary, to the account designated by SAN QI's Ireland subsidiary. In principle, the payer's name should match the contracting party named in the Sales and Supply Agreement.

g.

The distributor should have the experience and capability to handle import customs clearance, duties, taxes, local permits, standards compliance, and local transportation arrangements in the country of destination. SAN QI's Ireland subsidiary will provide the relevant documents required for customs clearance.

h.

The distributor is responsible for first-line after-sales service for its local customers and for customer service obligations required under applicable local laws. SAN QI's Ireland subsidiary will provide product technical instructions, repair advice, and spare parts support.

i.

If replacement spare parts are required and cannot be sourced locally, the relevant spare parts may be shipped together with the distributor's subsequent purchase or replenishment order. In urgent cases, international courier delivery may be arranged depending on the actual circumstances, with related costs and responsibilities to be confirmed separately.

j.

The regular estimated arrival period at the port of destination is 8–12 weeks, calculated from receipt of the first payment.

2. NORAM and EMEA Market Contact Arrangement

For the NORAM and EMEA markets, B2B distributors will mainly coordinate with SAN QI's Ireland subsidiary. SAN QI's Ireland subsidiary will act as the regional supplier and cooperation support party, providing distributors with product supply, order coordination, international shipping, and after-sales support.

3. Product Selection Method

Distributors may select products from SAN QI's existing Catering Series, Supermarket Series, and Warehouse Series product ranges as stock products, samples, or display products suitable for their local market. For the first purchase, distributors are advised to select a mixed structure of multiple series, multiple specifications, and small quantities. Subsequent replenishment can then be adjusted according to actual sales performance, including product series selection, replenishment quantities, and product combinations.

4. Replenishment Arrangement

Where the distributor's customer requirements involve special sizes or project-based products, the details shall be separately discussed and confirmed with the Ireland subsidiary. Such products may be shipped separately or together with replenishment products.

5. Page Applicability

This cooperation model applies only to international B2B distribution partners who wish to operate SAN QI products locally on a long-term basis. Non-distributor international B2B purchasing customers may submit their requirements through the Custom Order & After-Sales page. In countries, cities, or regions where SAN QI already has a distributor, relevant customer enquiries may be referred to the local distributor on a priority basis.

Provide the existing product ranges on the Fiji Market page as a reference for product selection.

2.

Provide product combination, procurement integration, and product mix recommendations within the three product series.

3.

Provide product customisation and solution support based on customer images, specifications, or requirements.

4.

Provide quotations according to distributor requirements, under CFR or CIF terms where applicable.

5.

Arrange international sea freight to the distributor's nominated port of destination; small spare parts or components may be sent by international courier depending on the actual circumstances.

6.

Provide mature and stable supply chain support and export customs clearance arrangements.

7.

Provide relevant documents required for standard shipping and import customs clearance.

8.

SAN QI's Ireland subsidiary provides spare parts, components, and after-sales support.

9.

Provide order progress, shipping status, and international shipment tracking support.

10.

Provide distributor directory listing on the website.

11.

Provide product information, images, specifications, and basic marketing support.

12.

Where required by the distributor, the establishment of an independent digital sales platform for the distributor may be separately discussed.

13.

Where required by the distributor, SAN QI brand materials or trade mark resources may be used within the scope of written authorisation.

14.

Provide customised outer packaging support, subject to minimum order quantity and mutual confirmation.

15.

After a distributor joins, relevant customer enquiries from its region may be referred to that distributor on a priority basis.
